GRAIL (GRAL) may have separated from Illumina (ILMN), but the filing map does not exactly show a clean break. Illumina appears as GRAIL’s former owner, sole supplier of key equipment and reagents, customer, partner and source of a $932.3 million cash contribution. One company, nearly every seat at the table.

The sharpest disclosure is on supply. GRAIL names Illumina as its sole supplier of next-generation sequencers and associated reagents, while Twist Bioscience (TWST) is its sole supplier of DNA panels. It also names Madison Industries as the sole supplier of blood collection tubes. The word “sole” is doing unusually heavy lifting here.

In plain English, GRAIL discloses one named supplier for each of three distinct pieces of the testing process: sequencing equipment and reagents, sample-collection tubes, and DNA panels. Two of those suppliers are public companies, Illumina and Twist. Madison’s ticker is not provided in the filing data.

Illumina’s role does not stop at the lab bench. GRAIL says the company is also a customer, and that the two have agreements governing their relationship after the separation.

That is a two-way commercial relationship disclosed in one sentence: GRAIL buys major inputs from Illumina, and Illumina buys from GRAIL. The filing does not provide the size of either lane here.

The spin-off created a formal relationship framework rather than erasing the connection. GRAIL says Illumina completed the separation on June 24, 2024. Before that, Illumina had acquired GRAIL in August 2021 and held it as a wholly owned subsidiary under European regulatory commitments.

The ownership link is historical, not current. The financial link was more tangible: GRAIL disclosed receiving $932.3 million from Illumina in connection with the spin-off.

Beyond Illumina, GRAIL names Guardant Health (GH) as an MCED competitor. Abbott Laboratories (ABT) appears in the same market map through its announced acquisition of Exact Sciences. Guardant, BillionToOne (BLLN), Caris Life Sciences (CAI) and Personalis (PSNL) each identify GRAIL as a competitor in their own filings.

So the disclosed map is lopsided by design: a concentrated supplier chain, a two-way Illumina relationship, a former parent with a large spin-off cash contribution, and several companies naming GRAIL on the other side of the market.
