GPGI recorded no revenue in the three months ended June 30. It still reported $50.3 million of net income, reversing a $26.1 million loss in the comparable three months a year earlier.
That is the kind of profit number that invites a double-take. Operating income moved the other way, from a $2.6 million loss to a $9.4 million loss, while diluted shares nearly tripled, rising from 102.3 million to 292.4 million.
The latest 10-Q puts the Husky Transaction at the center of the balance-sheet changes. It does not, in the receipts supplied here, attribute the net-income swing to a specific operating source. The business produced no sales in either comparable period, so this is not a story about a suddenly more profitable fabrication operation.
The cash picture is similarly deal-shaped. Cash rose from $4.8 million to $7.7 million, but the company disclosed that the transaction required an investment in GPGI Holdings and was funded in part with new PIPE shares.
GPGI described the financing plainly:
"The increase in cash provided by financing activities of $1,960.9 for the six months ended June 30, 2026 was substantially due to proceeds received from the issuance of the PIPE shares for the Husky Transaction of $ 1,962.0 ."

The cash did not arrive through sales or operating cash generation. It came substantially from issuing shares tied to the transaction, which helps explain why the share count became such a large part of the comparison.
The company also said the refinancing left it with more long-term debt and higher expected cash interest payments:
"As a result of the refinancing, the Company has a higher level of long‑term indebtedness, which is expected to result in increased cash interest payments during the year."

That adds a second financial claim on the business. GPGI had $3.3 million of stock compensation in the latest three months, up from $100,000, and its operating loss widened even as the bottom line turned positive. The accounting profit and the operating business are therefore telling separate stories.
The annual record supplies some context, but not a clean operating baseline. Revenue fell 85.8% to $59.8 million in 2025, and operating margin was negative 23.0%. Against that backdrop, the latest period's zero revenue is less a normal sales update than a snapshot of a company in transaction mode.
At the latest close, GPGI was valued at a $1.7 billion market capitalization, with an enterprise value of $1.6 billion. The latest annual figures put EV-to-sales at 26.2x, a mechanical ratio that sits on a very small and recently reduced revenue base.
GPGI's next quarterly report will provide the next three-month revenue and operating-income comparison, along with another look at debt and cash after the Husky funding. For now, GPGI has reported a profit without operating revenue.
