792.2%: that is how much VSE's net income jumped in the three months ended June 30, to $28.5 million from $3.2 million a year earlier. The headline looks like a business suddenly found a much larger gear.

Revenue did rise sharply, from $272.1 million to $449.1 million, and operating income more than doubled to $49.0 million. But the same period also brought 51.4% more diluted shares, leaving each diluted share with $0.91 of earnings versus $0.16 before. VSE made much more money, and had many more pieces of itself outstanding.

Management says the record results were driven by execution on new and existing distribution awards, broader products and maintenance, repair and overhaul capabilities, stronger end-market demand, and recent acquisitions. The company also completed the PAG Acquisition and funded it through a larger capital structure, including debt and equity offerings.

VSE described the period this way:

"During the second quarter of 2026, the Company delivered record results driven by strong execution on new and existing distribution awards, expansion of product offerings and MRO capabilities, increased end-market demand, and contributions from recent acquisitions."

10-Q 2026-08-06

That list matters because it puts the revenue increase in several buckets at once. The filing does not separate the $449.1 million total into organic growth and acquisition contribution in the supplied comparison, so the scale of the underlying operating expansion is not visible from the headline alone.

The cash picture is less dramatic. Cash ended the period at $75.4 million, up from $16.9 million, but accounts receivable grew nearly as quickly as sales, rising 49.9% to $274.6 million. For the six months, operating cash flow was negative $34.7 million, with VSE citing strategic inventory purchases alongside higher income and non-cash expenses.

The company disclosed the cash-flow detail plainly:

"Cash used in operating activities was flat for the six months ended June 30, 2026, as compared to the same period of the prior year primarily due to an increase in net income from continuing operations, adjusted for non-cash expenses, offset by a greater use of cash for strategic inventory purchases."

10-Q 2026-08-06

So the filing leaves two versions of the same expansion on the page. Profit and operating margin improved, with the latter reaching 10.9% from 8.3%. Cash generation from operations did not improve over the comparable six-month period, while the balance sheet showed higher receivables and debt borrowings during a period that included acquisitions.

VSE also disclosed $701.7 million of higher debt borrowings in the current period, including the amortizing notes tied to its tangible equity units, net of repayments and financing costs. At the latest close of $215.09, the company had a market capitalization of $4.6 billion and net debt of $215.9 million. The reported P/E was 390.3x, a figure that makes the durability of the earnings denominator unusually consequential without answering it.

The next quarterly report leaves one factual question hanging: how much of the $28.5 million in three-month net income will be converted into operating cash, and how will VSE describe the contribution from acquisitions?
